A lease agreement was executed today (31 December 2025) between DIGH Maslak İnşaat Proje Danışmanlık Ltd. Şti. ("DIGH Maslak"), our wholly owned subsidiary, and Tera Yatırım Bankası Anonim Şirketi ("Tera Bank"), regarding the leasing of the entire Tera Tower building owned by DIGH Maslak and located on plot no. 70, block no. 154, in the Sarıyer district of Istanbul. The lease agreement shall be valid until 31 December 2028, and the total lease amount has been determined as TRY 371,280,000 + VAT, which is above the rental amount determined within the scope of the valuation report for Tera Tower dated 31 December 2025. With respect to the execution of the said lease agreement, Mr. Emre Tezmen, Chairman of the Board of Directors of our Company, did not attend the Board of Directors' meeting held on 31 December 2025, as he is the Chairman of the Board of Directors and a shareholder of Tera Bank. As the Capital Markets Board approval process regarding the appointment of independent members of the Board of Directors is ongoing, the Board of Directors currently has no independent members. All members of the Board of Directors, except for Mr. Emre Tezmen, attended the meeting and voted in favor. Respectfully submitted for the information of the general public and investors.
