Sermaye Piyasası Kurulu tarafından 03.01.2014 tarihli Resmi Gazete'de yayımlanarak yürürlüğe giren (II-17.1) sayılı Kurumsal Yönetim Tebliği (Tebliğ) "Yaygın ve Süreklilik Arz Eden İşlemler" başlıklı 10. maddesi gereğince şirketimiz Yönetim Kurulunca 26.02.2025 tarihinde Denetim Komitesi tarafından hazırlanan 25.02.2025 tarihli rapor kabul edilmiştir. Hazırlanan raporun sonuç kısmı aşağıda yer almaktadır.

… (yukarıda bahse konu) Tebliğ uyarınca, Şirketimizin 2025 yılı finansal planlaması (bütçe) kapsamında Şirketimiz ve bağlı ortaklıkları ile ilişkili tarafları arasındaki 2025 yılı hesap dönemi içerisindeki işlem tutarının;

a) Alış işlemlerinde kamuya açıklanan son yıllık finansal tablolara göre oluşan satışların maliyetine olan oranının ve

b) Satış işlemlerinde kamuya açıklanan son yıllık finansal tablolara göre oluşan hasılat tutarına olan oranının, %10'dan fazla bir orana ulaşacağının öngörülmesi sebebiyle hazırlanan bu raporda 2025 yılı hesap dönemi içinde Şirketimiz DORMAK İthalat İhracat Mümessillik ve Dan. A.Ş. arasında yapılan ticari işleme ilişkin koşullar, fiyat belirleme yöntemi ve uygulanan kar marjının makul düzeyde belirlendiği ve söz konusu işlemin piyasa koşullarına ve emsallerine uygun olduğu sonucuna ulaşılmıştır.

Söz konusu anlaşmanın şirketimiz mali verilerine olumlu olarak yansıyacağı öngörülmektedir.

Kamuoyuna saygıyla duyurulur.

In adherence to Article 10, titled "Common and Continuous Transactions," of the Corporate Governance Communiqué (Communiqué) numbered (II-17.1), as published in the Official Gazette dated 03.01.2014 by the Capital Markets Board, the Board of Directors of the company officially accepted the report dated 26.02.2025, meticulously prepared by the Audit Committee on 25.02.2025.Outlined below is the conclusion section of the report:

In alignment with the aforementioned Communiqué, concerning the financial planning (budget) of the Company for the fiscal year 2025, the assessment of transactions between the Company, its subsidiaries, and related parties within the accounting period of 2025 was conducted, considering:

a) The proportion of purchase transactions to the cost of sales, as per the latest annual financial statements disclosed to the public, and

b) The anticipated ratio of sales transactions to the revenue amount, expected to exceed 10% based on the last annual financial statements disclosed to the public.

This report concludes that the conditions, pricing methodology, and profit margn applied to the commercial transaction between the Company and DORMAK İthalat İhracat Mümessillik ve Dan. A.Ş./company within the accounting period of 2025 are established at a reasonable level, and the transaction aligns with market conditions and precedents.

It is anticipated that this agreement will have a positive impact on the company's financial data.
