Dear Shareholders;
As announced in detail in our Company's material event disclosure dated 06.03.2024, it has been decided to initiate a "Simplification Project" for the effective management of Inveo Yatırım Holding's direct and indirect financial investments.
Within the scope of the "Simplification Project", which is planned to be completed in 2024, some direct investments and venture capital investment funds managed under the headings of venture capital and strategic investments will be indirectly managed by transferring them to Inveo Ventures GSYO, 85% of which is owned by Inveo Yatırım Holding AŞ and 15% by Gedik Yatırım Menkul Değerler AŞ.
In order to provide a holistic view, the said start-up and venture capital investment fund transfers concerning Inveo Yatırım Holding AŞ and its subsidiaries are presented below for your information.
• The registered shares we own in BV Teknoloji İş Geliştirme Danışmanlık ve Organizasyon AŞ with a nominal value of TL 1,358,740, corresponding to 20.5% of the capital, will be transferred to Inveo Ventures for TL 47,211,411.
• The registered shares we own in Devexperts Bilgi Dağıtım Hizmetleri AŞ with a nominal value of TL 5,549, corresponding to 9.99% of the capital, will be transferred to Inveo Portföy Yönetimi AŞ Birinci Fintech Girişim Sermayesi Yatırım Fonu for TL 1,830,140.
• The registered shares we own in Devexperts Teknoloji Yazılım Geliştirme AŞ with a nominal value of TL 4,995, corresponding to 9.99% of the capital, will be transferred to Inveo Portföy Yönetimi AŞ Birinci Fintech Girişim Sermayesi Yatırım Fonu for TL 4,262,701.

For TL 1,967,340 participation shares of Inveo Yatırım Holding AŞ's Inveo Portföy Yönetimi AŞ Birinci Gaming and E-Sports Girşim Sermayesi Yatırım Ortaklığı, 3.79% of the shares held by our Company will be transferred to Inveo Ventures.
The transfer transactions of our Company's indirect investments are shown in the table below.
If deemed necessary as a result of the assessment made within the framework of CMB public disclosure regulations, certain material event disclosures will also be made in the format of sale/acquisition of financial fixed assets.
Significant developments regarding the 'Simplification Project' process will be shared with the public in the upcoming period.

In case of a discrepancy between the Turkish and the English versions of this disclosure, the Turkish version shall prevail.
