oda_ExplanationTextBlock|		Sayın Paydaşlarımız; Şirketimizin %85'ine sahip olduğu Inveo Ventures Girişim Sermayesi Yatırım Ortaklığı AŞ (Inveo Ventures) tarafından 65.000.000 TL olan çıkarılmış sermayesinin %361,54 oranında 150.500.000 TL bedelli ve 84.500.000 TL bedelsiz olmak üzere 300.000.000 TL'ye çıkarılmasına karar verilmiştir. Bu kapsamda, Yönetim Kurulu'nun bugünkü toplantısında; - Şirketimizin %85'ine sahip olduğu Inveo Ventures'ın halihazırda 65.000.000 TL olan çıkarılmış sermayesinin bedelli sermaye artırımı yoluyla 150.500.000 TL artırılmasına 75.250.000 TL ile iştirak edilmesine, - Artırılan 4.426.470,59 TL nominal değerli A Grubu, 70.823.529,41 TL nominal değerli B Grubu toplam 75.250.000 TL nominal değerli pay için hisse başına 1 TL olacak şekilde 75.250.000 TL'nin sermaye avansı olarak veya her halükarda tescilden önce ödenmesine, - Sermaye artırımına ilişkin yapılacak başvuru sonucunda Sermaye Piyasası Kurulu onayını takiben, Şirketimizin Inveo Ventures'taki doğrudan payı %67,44 oranına düşecek olup, ilgili işlemlerin yürütülmesi ve sermaye avansı ödeme tarihi konusunda Şirketimiz Genel Müdürlüğü'nün yetkili kılınmasına karar verilmiştir. Süreç hakkında gelişmeler önümüzdeki dönemde kamuoyu ile paylaşılacaktır. Kamuoyuna saygıyla duyurulur.		Dear Stakeholders, Inveo Ventures Girişim Sermayesi Yatırım Ortaklığı AŞ (Inveo Ventures), 85% of which is owned by our Company, has decided to increase its issued capital from TL 65,000,000 to TL 300,000,000 by 361.54%, with a rights issue of TL 150,500,000 and bonus issue of TL 84,500,000. In this context, at today's meeting of the Board of Directors, it has been decided; - To participate in the increase of the issued capital of Inveo Ventures, 85% of which is owned by our Company, from TL 65,000,000 to TL 150,500,000 through a capital increase through rights issue, with TL 75,250,000, - To pay TL 75,250,000 for the increased Group A shares with a nominal value of TL 4,426,470.59 and Group B shares with a nominal value of TL 70,823,529.41 for a total nominal value of TL 75,250,000, amounting to TL 1 per share, as capital advance or in any case before registration. - To authorize the General Directorate of our Company for the execution of the relevant transactions and determine the date of the capital advance payment following the approval by the Capital Markets Board about the application for the capital increase, our Company's direct share in Inveo Ventures will decrease to 67.44%. Significant developments regarding the process will be shared with the public in the upcoming period. It is respectfully announced to the public. In case of a discrepancy between the Turkish and the English versions of this disclosure, the Turkish version shall prevail.
