Dear Stakeholders;

As detailed in our company's special disclosure dated January 13, 2026,

In order to support our company's long-term growth strategy as a value investor, it has been decided to add real estate to our existing investment activities.

This decision was made considering the developments in the real estate sector in recent years and the future opportunities in the sector, which are consistent with our company's growth targets. In this context, it is planned to begin researching investment opportunities in suitable projects.

Our company's Board of Directors has decided to establish a Real Estate Company as a Joint Stock Company with a capital of 100,000,000 TL, wholly owned by the company, and to name the company İstanbul Kandilli Gayrimenkul Yatırım A.Ş. (Istanbul Kandilli Real Estate Investment Inc.), in order to evaluate investment opportunities arising in the real estate sector within the framework of the current macroeconomic conditions in our country (falling inflation and interest rate environment). As a result of the work carried out within this scope, the incorporation procedures of Istanbul Kandilli Real Estate Investment Inc. have been completed, and the Company was registered by the Istanbul Trade Registry Directorate on January 14, 2026.
