As previously announced in our Company's Public Disclosure dated 07.02.2025, Board of Directors of our 30% subsidiary RWE & Turcas Güney Elektrik Üretim A.Ş. ("RTG") after evaluating the company's future business plans had decided to reduce the Company's total share capital by TRY 400,000,000 from TRY 1,162,620,765 to TRY 762,620,765. The mentioned capital decrease transaction has been approved by the shareholders at RTG's Extraordinary General Assembly Meeting held on 13.02.2025.

Following the transaction, there will not be any change in the 30% shareholding ratio of Turcas Petrol A.Ş. ("our Company") at RTG. It is planned that the amount of 120,000,000 TL that our Company will receive from the relevant capital decrease will be paid to our Company in cash by RTG, following the legal processes expected to be completed by the end of May 2025.
