Additional Explanations
Pursuant to Resolution of Board of Directors dated 08.04.2026; it has been resolved by unanimity of the votes of the members who attended the meeting to submit for the approval of the shareholders at the 2025 Ordinary General Assembly the following proposal; based on the profit distribution table prepared in accordance with the financial statements as of 31 December 2025, which were maintained pursuant to the Turkish Commercial Code and the Tax Procedure Law, as well as the consolidated financial statements as of 31 December 2025 prepared in compliance with the regulations of the Capital Markets Board and subject to independent audit, it is proposed that; from the profit of the fiscal year 2025, after deduction of all reserves required to be set aside in accordance with the applicable legislation, the total amount of dividend distribution be determined as TRY 700,000,000; the dividend advance of TRY 100,000,000 distributed in October 2025 be set off against the total dividend to be distributed; and following such set-off, the remaining amount of TRY 600,000,000 be distributed to the shareholders in cash in full, starting from 13 May 2026.
