Türk Ticaret Kanunu ("TTK"), Sermaye Piyasası Mevzuatı ve Sermaye Piyasası Kurulu ("SPK") düzenlemeleri, vergi mevzuatı, Şirketimiz esas sözleşmesi hükümleri ve Kâr Dağıtım Politikası dikkate alınarak:
- SPK'nın Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği (II-14.1 sayılı Tebliğ) hükümleri dahilinde, Kamu Gözetimi, Muhasebe ve Denetim Standartları Kurumu tarafından yayınlanan Türkiye Muhasebe Standartları ve Türkiye Finansal Raporlama Standartları'na uygun olarak hazırlanan, sunum esasları SPK'nun konuya ilişkin kararları uyarınca belirlenen, bağımsız denetimden geçmiş, 01.01.2017-31.12.2017 hesap dönemine ait konsolide finansal tablolara göre; 12.552.834 Türk Lirası tutarında "Net Dönem Karı" oluştuğu; yurtdışı kurlar ve piyasalardaki dalgalanmalar nedeniyle 2017 hesap dönemine ilişkin olarak herhangi bir kar dağıtımı yapılmayacağı hususunda pay sahiplerinin bilgilendirilmesine ve bu hususun genel kurulun onayına sunulmasına,
- TTK ve VUK kapsamında tutulan 01.01.2017-31.12.2017 hesap dönemine ait mali kayıtlarda ise 32.258.186,73 Türk Lirası tutarında "Net Dönem Karı" olduğunun tespitine; ilgili tutardan daha düşük olan SPK hükümlerine göre hesaplanmış 12.552.834 Türk Lirası tutarın "Olağanüstü Yedekler" hesabına aktarılması hususunun genel kurulun onayına sunulmasına,
oy çokluğu ile karar verilmiştir.
