AGM decisions include change on Supervisory Board

At the Annual General Meeting of Shareholders of A.S. Création Tapeten AG, Europe’s leading wallpaper manufacturer, Dr. Volker Hues, Chief Financial Officer of Jungheinrich AG, was elected new member of the Supervisory Board by over 99% of the shareholders. Dr. Hues succeeds Dr. Liebs, who has resigned from office for reasons of age. Dr. Liebs had sat on the company’s Supervisory Board since its IPO in 1998 and most recently served as its Vice Chairman and as Chairman of the Audit Committee. The Chairman of the Supervisory Board, Mr Schneider, acknowledged the great contribution made by Dr. Liebs to the positive development of A.S. Création over the past 17 years and thanked him for the good and trusting cooperation.
Mr Schneider also expressed his conviction that Dr. Hues is a very good successor, who will provide A.S. Création with important stimulation building on his entrepreneurial experience and his knowledge in the area of finance and accounting. At the constituent meeting of the Supervisory Board held after the Annual General Meeting of Shareholders, Mrs Benner-Heinacher was elected Vice Chairperson.

The Annual General Meeting of Shareholders also decided, with over 99% of the votes, not to pay out a dividend for the fiscal year 2014. This decision is due to the fact that A.S. Création incurred a net loss after taxes of EUR -9.3 million in 2014. In keeping with the company’s dividend policy, which provides for a high payout ratio in terms of earnings per share as long as this is warranted by the company’s financial situation, the Managing Board and the Supervisory Board had proposed to pay no dividend.

The Annual General Meeting of Shareholders thanked all employees of A.S. Création for their commitment in the past fiscal year. The Managing Board and the Supervisory Board were released from liability for the past fiscal year by a large majority of the shareholders.
