By evaluating the report on independent board member candidates prepared by the Corporate Governance Committee in accordance with the provision 4.3.7 of the Corporate Governance Principles annexed to the Corporate Governance Communiqué of the Capital Markets Board (II-17.1), our Company's Board of Directors has evaluated Ms. Arzu ERDEN and Ms. Şerife Ebru Doğruol AYGİL, in addition to the two existing independent board members; Mr. Cengiz SOLAKOĞLU and Mr. Fahri Okan BÖKE and decided to nominate them all as independent board member candidates, and an application was made to the Capital Markets Board to get an opinion on the independent member candidates list.

Our Company has been informed by Capital Markets Board that it has been decided not to express any negative opinion about the independent member candidates, Mr. Cengiz SOLAKOĞLU, Mr. Fahri Okan BÖKE, Ms. Arzu ERDEN and Ms. Şerife Ebru Doğruol AYGİL, taking into account the independence declarations and CVs, stating that they meet the conditions stated in Article 4.3.6 of the Corporate Governance Principles.

At the first ordinary general assembly meeting to be held, Mr. Cengiz SOLAKOĞLU, Mr. Fahri Okan BÖKE, Ms. Arzu ERDEN and Ms. Şerife Ebru Doğruol AYGİL will be submitted to the general assembly for approval as independent board member candidates.

In case of a discrepancy between the Turkish and the English versions of this disclosure statement, the Turkish version shall prevail.
