("Sendeo") ile Ahmet Musul'un paylarının tamamına sahip olduğu Ekol Ekspres Kargo A.Ş. ("Kolay Gelsin") şirketlerinin faaliyetlerinin, Sendeo ortakları ve Ahmet Musul'un ilkesel olarak eşit ortaklığı altında "Kolay Gelsin" markasıyla yürütülmesi amacıyla yapılacak işlemlere Rekabet Kurumu tarafından izin verilmiştir. Planlanan işlemde ilk aşamada Ahmet Musul tarafından Sendeo'nun sermayesinin %50'sini temsil eden payların Aygaz ve Koç Holding'den payları oranında devralınması; oluşacak yeni ortaklık yapısında tüm ortakların katılımı ile Sendeo'da yapılacak sermaye artırımını takiben de Ahmet Musul'un sahip olduğu Kolay Gelsin sermayesini temsil eden payların tamamının Sendeo'ya devredilmesi ve işlemlerin mümkün olan en kısa sürede tamamlanması hedeflenmektedir. Tüm devirler sonrasında Aygaz ve Koç Holding ile Ahmet Musul'un Sendeo'da doğrudan, Kolay Gelsin'de ise dolaylı olarak ortak kontrole sahip olmaları beklenmektedir. İşleme yönelik 11.01.2024 tarihli açıklamamızda belirtilen detaylı inceleme ve sözleşme çalışmaları ile diğer izin süreçleri devam etmekte olup, konuyla ilgili önemli gelişmeler yatırımcılarımızla paylaşılacaktır. Announced to the public on 11.01.2024, the transactions for the purpose of conducting the activities of Sendeo Dağıtım Hizmetleri A.Ş. ("Sendeo"), in which Koç Holding and Aygaz collectively own all shares, and Ekol Ekspres Kargo A.Ş. ("Kolay Gelsin"), which is wholly owned by Ahmet Musul, under the "Kolay Gelsin" brand with the principle of equal partnership of Sendeo shareholders and Ahmet Musul have been permitted by the Competition Authority. In the planned process, the initial step involves the acquisition of the shares representing 50% of Sendeo's capital by Ahmet Musul from Aygaz and Koç Holding in proportion to their respective shares; a capital increase at Sendeo, with the participation of all partners in the new partnership structure and following this; fully transfer of all shares representing the capital of Kolay Gelsin, owned by Ahmet Musul to Sendeo and to complete the transactions as soon as possible. Following all transactions, it is anticipated that Aygaz and Koç Holding, along with Ahmet Musul, will have direct control in Sendeo and indirect control in Kolay Gelsin. The detailed due diligence and legal documentation, as well as other approval processes, mentioned in our announcement dated 11.01.2024 regarding the transaction, are ongoing.
