In the material event disclosure announced by our Company on 27 October 2025, it was disclosed that a binding Share Purchase Agreement had been signed regarding the acquisition of the shares of Transglobal Cargo Centre Ltd. ("TCC") by one of our subsidiaries.

In this context;
the transaction concerning the acquisition of all shares owned by the principal shareholder of Transglobal Cargo Centre Ltd. ("TCC"), a company headquartered in Nairobi, Republic of Kenya, providing ground handling, air cargo and warehouse services at Jomo Kenyatta International Airport, has been completed on 23 December 2025 by Çelebi Cargo GmbH, the Frankfurt-based subsidiary of Çelebi Kargo Depolama ve Dağıtım Hizmetleri A.Ş., of which Çelebi Hava Servisi A.Ş. holds 99.97% of the shares, following the fulfilment of the conditions precedent set forth in the agreement and the receipt of the required legal permits and approvals.

This Material Disclosure Announcement is prepared in Turkish and in English. In case of any discrepancy between the two versions, Turkish disclosure will prevail.
