Jungfrau Railway Group wants to simplify corporate structure
The Jungfraubahn Holding AG is planning a takeover bid for its subsidiaries Bergbahn Lauterbrunnen-Mürren AG and Harderbahn AG.
The Executive Board of Jungfraubahn Holding AG has decided to submit, at the beginning of 2016, a take-over bid to the minority shareholders for their shares in the two subsidiaries, Bergbahn Lauterbrunnen-Mürren AG and Harderbahn AG, in order for the two companies to be held later, after the merger and spin-off, as 100% companies within the Group. The Group is responding to new regulations for the registration of ownership of bearer shares and taking this as an opportunity to simplify the structure of the Jungfrau Railway Group.
Proposal for consideration
A proposal for an offer will first be submitted for consideration to the executive boards of the subsidiary companies. These will be able to submit the proposal to an independent body for assessment, for the purpose of acquiring a second opinion. This will ensure that a fair offer can be presented to the shareholders of the Bergbahn Lauterbrunnen-Mürren AG and Harderbahn AG in January 2016.
