The "Assessment Report on the Independent Board Member Candidate," prepared within the scope of our Company's Corporate Governance Committee meeting dated 13.11.2025 and numbered 2025/06, has been approved by our Board of Directors in accordance with the Corporate Governance Communiqué (II-17.1) and Corporate Governance Principles.

In this context, Prof. Dr. Muhammed DENİZ has been determined as an independent board member candidate, and pursuant to Article 4.3.7 of the Corporate Governance Principles, it has been resolved to submit his candidacy to the Capital Markets Board of Türkiye for approval.

Further developments regarding the process will be disclosed to the public in due course.

The résumé of Prof. Dr. Muhammed Deniz is presented belo

Born in 1972 in Kars, Muhammed Deniz completed his undergraduate, graduate, and doctoral studies at the Middle East Technical University, Faculty of Arts and Sciences, Department of Physics. He conducted his doctoral research in collaboration with Academia Sinica (Taiwan) and was awarded the METU "Best PhD Thesis Award" for the 2006–2007 academic year for his work in nuclear and particle physics.

Deniz began his academic career as a student assistant at METU's Department of Physics during his undergraduate years. Between 2007 and 2011, he served as a Lecturer at METU Physics Department and as a Postdoctoral Researcher at Academia Sinica, Institute of Physics. Since 2007, he has also served as the Turkey Group Leader of Academia Sinica's TEXONO Collaboration. He received the title of Assistant Professor at Karadeniz Technical University in 2011 and subsequently held associate professorship positions at YÖK, KTÜ, and DEU during 2011 and 2012.

Since 2012, Prof. Dr. Muhammed Deniz has been a faculty member at Dokuz Eylül University, Faculty of Science, Department of Physics. He has served as Head of the Department since 2020 and as a Member of the Board of the Physics Department Research and Application Center since 2021. He has also undertaken numerous academic and administrative responsibilities, including roles as Erasmus, Farabi, and Mevlana program coordinator, assistant department chair, faculty board member, and member of the rectorate quality commission.

Prof. Deniz's research focuses primarily on neutrino physics, dark matter, high-energy and particle physics, astrophysics, and advanced detector systems. As the Turkey Group Leader of the TEXONO Collaboration, he leads various international research projects. He has served as principal investigator and researcher in numerous projects funded by TÜBİTAK, TAEK/TENMAK, and international research programs.

He has supervised many master's and doctoral theses and has actively participated in international laboratories and collaborations, conducting technical research at CERN, Academia Sinica, IHEP Beijing, CIAE Beijing, and various underground laboratories.

Prof. Dr. Muhammed Deniz is married and the father of two daughters.
