At the meeting of our Board of Directors held today (30.12.2025), it was resolved to sell 100% of the share capital of Trio Teknik Yapı A.Ş. ("Trio"), our wholly owned subsidiary engaged in education and private school operations with a paid-in capital of TRY 25,000,000, for a total consideration of TRY 30,000,000.

The real estate property where the private school operated by Trio is located is owned by Ral Gayrimenkul Yatırım Ortaklığı A.Ş., another wholly owned subsidiary of our Company, and is not included in the scope of the said sale transaction. Following the completion of the sale, ownership of the aforementioned property will continue to remain with Ral GYO.
