oda_ExplanationTextBlock|		Şirketimiz pay sahiplerinden GIC Private Limited tarafından Şirketimize iletilen açıklama aşağıda paylaşılmaktadır. 25.11.2025 tarihli özel durum açıklamasına ilişkin olarak, GIC Private Limited ("GIC"), Rönesans Gayrimenkul Yatırım A.Ş.'nin ("RGY") çıkarılmış sermayesinin %4,531'ini temsil eden 15.000.000 adet B Grubu adi payının ("Paylar") satışına ("İşlem") ilişkin fiyatlandırmayı duyurmaktadır. İşlem, pay başına 140 TL fiyattan fiyatlanmış olup, bir önceki gün 25.11.2025 tarihindeki kapanış fiyatına göre yaklaşık %12,5 iskonto içermektedir ve yaklaşık 2.100.000.000 TL tutarında brüt satış geliri (brüt hasılat) elde edilmiştir. Yatırımcılardan gelen fazla talebe istinaden 25.11.2025 tarihli özel durum açıklamasında belirtilenden 2.000.000 adet daha fazla pay satılmıştır. Satış, Türkiye'de ve yurt dışında yerleşik nitelikli kurumsal yatırımcılara tahsisli satış yoluyla gerçekleştirilmiştir. GIC mevcut durum itibarıyla RGY'nin çıkarılmış sermayesinin yaklaşık %18.377'sine doğrudan sahip olup, İşlem'in tamamlanması ile RGY sermayesindeki pay oranının % 13,846 olması beklenmektedir. Gelişmeler tam ve zamanında kamuya açıklanacaktır. The statement submitted to our Company by GIC Private Limited, one of the shareholders of our Company, is shared below. With reference to the material event disclosures dated 25 November 2025, GIC Private Limited ("GIC") hereby announces the pricing of the sale (the "Transaction") 15,000,000 Class B ordinary shares (the "Shares") representing 4.531% of the issued share capital of Rönesans Gayrimenkul Yatırım A.Ş. ("RGY"). The Transaction has been priced at TRY 140 per share and includes a discount of approximately 12.5 % compared to the closing price on the previous day, with gross sale proceeds of approximately TRY 2,100,000,000 obtained. Due to the high demand from the investors, 2,000,000 additional shares more than stated in the material event disclosure dated 25.11.2025 have been sold. The sale has been conducted through a private placement to qualified institutional investors residing in Turkey and abroad. GIC currently directly holds approximately 18.377 % of the issued share capital of RGY and upon completion of the Transaction, its shareholding in the capital of RGY is anticipated to be 13.846 %. Developments will be fully and timely disclosed to the public.
