Two groups of shares, Group A and Group B, are defined in the Company's articles of association. Articles 7 and 10 of the articles of association specify the privileges of Group A shares. Group A shares have the privilege to nominate candidates for the board of directors and to vote in the general assembly. Group B shares do not have any privileges. Half of the board of directors is carried out by a board of directors consisting of at least 5 (five) and at most 8 (eight) persons to be elected among Group A shareholders or among the candidates to be nominated by them. In the general assembly, each Group A shareholder is entitled to 5 (five) votes and each Group B shareholder is entitled to 1 (one) vote.

Our employees indirectly participate in the management through communication tools such as the open door policy applied in our company, information meetings held regularly with the participation of all employees, and surveys, but this is not regulated by the articles of association or in-house regulations. For example, in accordance with the OHS legislation, our employees are represented in the Occupational Health and Safety Board committees through employee representatives. These committees meet once a month at the factory. It is planned that the implementation will continue in this way in the upcoming period.

Yönetim Kuruluna verilen ücretler genel kurullarda belirlenmekte ve ilan edilmektedir. Ayrıca yönetim kurulu ve üst düzey yöneticilere sağlanan menfaatlerin toplu olarak tutarları finansal raporda raporlanmaktadır. The fees paid to the Board of Directors are determined and announced at the general assemblies. In addition, the total amount of benefits provided to the board of directors and senior managers are reported in the financial report. The Remuneration Policy submitted to the information of the General Assembly is published on the corporate website. It is not planned to disclose the fees paid to managers with administrative responsibilities on an individual basis.
