Item 4. Changes in Registrants Certifying Accountant.
On April 20, 2004, the Audit Committee of the Board of Directors of J. Alexanders Corporation (the Company) dismissed its independent auditors, Ernst & Young LLP (Ernst & Young), and engaged the services of KPMG LLP (KPMG) as the Companys independent auditors for the fiscal year ending January 2, 2005. The Audit Committee of the Board of Directors is responsible for the selection and replacement of the Companys independent auditors. The Audit Committee expressed its satisfaction with the services of Ernst & Young, which had served as the Companys independent auditors since the Companys inception.
Ernst & Youngs reports on the Companys consolidated financial statements for the fiscal years ended December 28, 2003 and December 29, 2002 did not contain an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles.
During the fiscal years ended December 28, 2003 and December 29, 2002 and through the date of this Form 8-K, there were no disagreements with Ernst & Young on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure which, if not resolved to Ernst & Youngs satisfaction, would have caused them to make reference to the subject matter in connection with their report on the Companys consolidated financial statements for such years; and there were no reportable events as listed in Item 304(a)(1)(v) of Regulation S-K.
The Company has provided Ernst & Young with a copy of the foregoing disclosures. Attached as Exhibit 16.1 is a copy of Ernst & Youngs letter, dated April 26, 2004, stating its agreement with such statements.
During the years ended December 28, 2003 and December 29, 2002 and through the date of this Form 8-K, the Company did not consult KPMG regarding any of the matters or events set forth in Items 304(a)(2)(i) and (ii) of Regulation S-K.
