Item 5. OTHER EVENTS.
The registrant published a press release on June 17, 2002, which announced that it had raised approximately $3,667,000 in the private placement of its subordinated convertible pay-in-kind notes during approximately two months ended June 14, 2002, and that the registrant has decided to file for Phase I Investigational New Drug Applications (IND’s) with the US Food and Drug Administration for two specific autoimmune diseases. A copy of such press release is incorporated herein by reference and is attached as an exhibit to this Form 8-K.
