     State below in reasonable  detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR
or the transition report portion thereof could not be filed within the

The Company recently moved its executive offices to Chicago, Illinois. As of
August 28, 2006, the Board of Directors appointed a new President and Chief
Executive Officer, and as of October 18, 2006, appointed a new Chief Financial
Officer. Based upon the foregoing, the Company needs additional time to complete
its financial statements for the quarter ended September 30, 2006, and to
prepare its Quarterly Report on Form 10-QSB for the quarter ended September 30,
2006. Consequently, the Company will be unable to file its Form 10-QSB within
the prescribed time period.
