The Management Board of Binary Helix S.A. (the "Issuer", the "Company")hereby informs that on 8 December 2025 the Issuer signed a Letter ofIntent with Eko-Solar Sp. z o.o., with its registered office in Namysłów(the "Partner"), expressing the parties' intention to extend theirstrategic cooperation to the area of advanced security, monitoring andsupervisory process automation systems.
Recognising the growing market demand for integrated solutions for theprotection of critical and industrial infrastructure, the Partner hasexpressed interest in the deployment and commercialisation of theIssuer's technology, including the distribution of drone systems forperimeter protection and monitoring, as well as inspection dronesintended for supervision of power generation and transmissioninstallations, hydrotechnical facilities (including dams), windturbines, PV infrastructure and large-area facilities.
The Parties define the following pillars of the planned cooperation,based on the Issuer's technologies:
Implementation of pilot deployments of perimeter protection systemsand a drone fleet at selected facilities of the Partner;
Inclusion of BHX solutions in the Partner's commercial portfolio andtheir active distribution to end customers (including owners ofphotovoltaic farms, large-area and industrial facilities anddispersed infrastructure);
Launch by the Partner of an inspection and monitoring servicesdepartment, to be delivered using equipment supplied by BHX;
Cooperation in integrating the Issuer's systems with the existingsecurity infrastructure of the Partner's customers (CCTV, intrusionalarm systems);
Certification of the Partner's personnel in the piloting of unmannedaerial vehicles and in the configuration, operation and monitoringof the systems;
Establishing the rules for the Partner's provision of first-linetechnical support (L1 Support) for end users;
Developing preferential discount terms and a settlement model forlicences and hardware for the Partner.
This Letter of Intent initiates the Parties' commercial and technicalnegotiations, the purpose of which is to conclude a CommercialCooperation Agreement within the scope defined above; the Issuer willreport the conclusion of such agreement in a separate current reportimmediately upon its execution.
The Management Board of the Issuer has decided to publish thisinformation due to the fact that, in its opinion, it may have asignificant impact on the future asset, financial and economic situationof the Issuer, as well as on the valuation of the Company's financialinstruments listed in the alternative trading system on the NewConnectmarket.
