The Management Board of Binary Helix S.A. (the "Issuer", the "Company")hereby informs that on 8 December 2025 the Issuer signed a letter ofintent with Eko-Solar Sp. z o.o. with its registered office in Namysłów(the "Partner"), expressing the parties' intention to establish close,long-term strategic and commercial cooperation. The cooperation is tocover the sale and distribution of the Issuer's solutions in the area ofrenewable energy sources (RES) and the creation of installation andservice structures enabling their wide-scale deployment on the domesticmarket.

The purpose of this Letter is to confirm the intention of both Partiesto conduct negotiations aimed at concluding a binding CooperationAgreement and to define the initial areas and principles of cooperation.

The Parties identify the following key areas of potential cooperation,focused around RES technologies, including the hybrid wind-solarturbines offered by the Issuer:

Building sales and distribution channels and promoting the Issuer'ssolutions in the markets in which the Partner operates.

Provision of professional installation services for hybridwind-solar turbines at end customers, in accordance with thetechnical standards defined by the Issuer.

Cooperation in assembly processes of components or finished devices,aimed at optimising the supply chain and logistics.

Development of the Partner's commercial network using the Issuer'stechnology and information materials.

Joint marketing activities, product presentations and participationin industry events.

Technical training covering the principles of installation,configuration, servicing and operational safety.

Analysis of warehousing and service potential and the possibilitiesfor after-sales support.

Agreement of commercial terms, including prices, volumes, deliveryschedules and settlement models.
