<p style=' margin-bottom:12pt; margin-top:0pt;text-align:justify;'><b><font size=2>Item 1.01. Entry Into A Material Definitive Agreement</font></b></p>

<p style=' margin-bottom:12pt; margin-top:0pt;text-align:justify;'><font size=2>(1) On May 16, 2008 Ascendia Brands, Inc. (the
&#147;Registrant&#148;) entered into an amendment agreement with Steven R. Scheyer, its President and Chief Executive Officer (the
&#147;Amendment Agreement&#148;), amending the employment agreement dated as of February 9, 2007 between the Registrant and
Mr.&nbsp;Scheyer (the &#147;Employment Agreement&#148;).</font></p>

<p style=' margin-bottom:12pt; margin-top:0pt;text-align:justify;'><font size=2>The Amendment Agreement amends the Employment
Agreement by reducing from $50,000,000 to $13,653,000 the EBITDA (&#147;earnings before interest, taxes, depreciation and
amortization&#148;) target that will apply in determining the amount of the bonus, if any, that will be payable to Mr.&nbsp;Scheyer
for the fiscal year ended February 28, 2009, provided that such EBITDA target is subject to adjustment by the Registrant&#146;s
Compensation Committee based on a restructuring plan to be developed by Carl Marks Advisory Group LLC (&#147;CMAG&#148;) for
approval by the Board. If the Registrant satisfies the EBITDA target, Mr.&nbsp;Scheyer will receive a bonus equal to 100 percent of
his base compensation of $650,000, with the amount of the bonus adjusted in the event the Registrant&#146;s EBITDA is less than, or
exceeds, the EBITDA target. The bonus amount is ratably reduced by 5% of base salary for each 1% by which EBITDA is less than the
target amount, and increased by 1% for each 1% by which EBITDA exceeds the target amount, up to a maximum bonus of 150% of base
salary.</font></p>

<p style=' margin-bottom:12pt; margin-top:0pt;text-align:justify;'><font size=2>The Amendment Agreement further provides that, on or
prior to June 30, 2008, the Registrant will issue to Mr.&nbsp;Scheyer options (&#147;Options&#148;) to purchase up to 5,546 shares
of a newly-created series of Preferred Stock, designated the Series C-1 Convertible Preferred Stock, for a price of $1,000 per
share. The Series C-1 Stock ranks </font><i><font size=2>pari passu</font></i><font size=2> as to dividends, liquidation rights and
voting rights with the Company&#146;s Series C Preferred Stock, which is held by an affiliate of Prentice Capital Management, LP.
Each share of Series C-1 Preferred Stock is convertible into1,326 shares of the Registrant&#146;s common stock, with the consequence
that the shares of Series C-1 Preferred Stock issuable upon exercise of the Options are convertible in the aggregate into 41.825
million shares of the Registrant&#146;s common stock. The Options vest as follows: one-third immediately upon issuance, one-third on
March 1, 2009 and the remaining one-third on March 1, 2010. These options are being awarded in satisfaction of the Registrant&#146;s
obligation, pursuant to the Employment Agreement, to award Mr.&nbsp;Scheyer, on October 1, 2007, options to purchase shares of
common stock equal in number to 4 percent of the total number of common shares outstanding as of March 12, 2007 on a fully diluted,
as converted basis.</font></p>

<p style=' margin-bottom:12pt; margin-top:0pt;text-align:justify;'><font size=2>Pursuant to the Amendment Agreement,
Mr.&nbsp;Scheyer stipulates that neither the appointment of CMAG to provide restructuring advisory services to the Registrant&#146;s
Board of Directors, the appointment of Douglas Booth, a partner in CMAG, as restructuring adviser with the responsibilities
specified in the Amendment Agreement, nor the performance of those services will entitle Mr.&nbsp;Scheyer to terminate the
Employment for Good Reason, as defined in the Employment Agreement, or exercise any other right or remedy thereunder. </font></p>

<p style=' margin-bottom:12pt; margin-top:0pt;text-align:justify;'><font size=2>Pursuant to the Amendment Agreement,
Mr.&nbsp;Scheyer further agrees to waive the $650,000 bonus due with respect to the fiscal year ended February 29, 2008 in
consideration of a cash payment of $250,000 from an affiliate of Prentice Capital Management, LP made pursuant to a side letter
between Prentice and Mr.&nbsp;Scheyer entered into contemporaneously with the Amendment Agreement.</font></p>

<p style=' margin-bottom:12pt; margin-top:0pt;text-align:justify;'><font size=2>The above description of the Amendment Agreement

amended advisory services agreement with CMAG (the &#147;CMAG Amendment Agreement&#148;), pursuant to which CMAG will provide
restructuring advisory services. Pursuant to the CMAG Advisory Agreement Douglas Booth, a partner in CMAG, will assume the role of
Chief Restructuring Adviser, reporting to the Registrant&#146;s Board of Directors, with responsibility for the development and
implementation of a restructuring advisory plan that may include the sale of certain manufacturing assets, management of inventory,
reduction in sales, general and administrative expenses and other cost savings. Three other employees of CMAG will also serve in an
advisory capacity to the Registrant on a full-time basis. The Registrant will pay CMAG a monthly advisory fee of $225,000, which
will be reviewed after 60 days. </font></p>

number of Preferred Shares not converted. </font></p>

<p style=' margin-bottom:12pt; margin-top:0pt; margin-left:1.5in; text-indent:0.5in;text-align:justify;'><font size=2>(iii) &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;</font><u><font size=2>Dispute Resolution</font></u><font size=2>. In the case of a dispute as to the determination of the Closing Sale Price or the arithmetic calculation of the Conversion Rate, the Company shall instruct the Transfer Agent to issue to the Holder the number of shares of Common Stock that is not disputed and shall transmit an explanation of the disputed determinations or arithmetic calculations to the Holder via facsimile within (a) one (1) Business Day in the case of a dispute as to the arithmetic calculation of the Conversion Rate and (b) three (3) Business Days in the case of a dispute as to the determination of the Closing Sale Price of receipt of such Holder&#146;s Conversion Notice or other date of determination. If such Holder and the Company are unable to agree upon the determination of the Closing Sale Price
or the arithmetic calculation of the Conversion Rate within two (2) Business Days of such disputed determination or arithmetic calculation being transmitted to the Holder, then the Company shall within three (3) Business Days with respect to the determination of the Closing Sale Price and within one (1) Business Day with respect to the arithmetic calculation of the Conversion Rate, in each case after the end of such two (2) Business Day period, submit via facsimile (A) the disputed determination of the Closing Sale Price to an independent, reputable investment bank selected by the Company and approved by the Required Holders or (B) the disputed arithmetic calculation of the Conversion Rate to the Company&#146;s independent, outside accountant. The Company shall cause, at the Company&#146;s expense, the investment bank or the accountant, as the case may be, to perform the determinations or calculations and notify the Company and the Holders of the results no later than five (5)
Business Days with respect to the determination of the Closing Sale Price and no later than two (2) Business Days with respect to the calculation of the Conversion Rate, in each case from the time it receives the disputed determinations or calculations. Such investment bank&#146;s or accountant&#146;s determination or calculation, as the case may be, shall be binding upon all parties absent manifest error.</font></p>

receiving from the Company, then the Company shall, within three (3) Business Days after the Holder&#146;s request and in the Holder&#146;s discretion, either (i) pay cash to the Holder, subject to receipt of any consents required in Section 9 hereof, in an amount equal to the Holder&#146;s total purchase price (including brokerage commissions, if any) for the shares of Common Stock so purchased (the &#147;</font><b><font size=2>Buy-In Price</font></b><font size=2>&#148;), at which point the Company&#146;s obligation to deliver such certificate or credit such Holder&#146;s account with DTC (and to issue such Common Stock) shall terminate, or (ii) promptly honor its obligation to deliver to the Holder a certificate or certificates representing such Common Stock or credit such Holder&#146;s account with DTC and, subject to receipt of any consents required in Section 9 hereof, pay cash to the Holder in an amount equal to the excess (if any) of the Buy-In Price over the product of (A)

In the event that the Company does not pay the Redemption Price by the Redemption Date, at any time thereafter and until the Company pays such unpaid applicable Redemption Price in full or if a Holder desires to cancel a Notice of Redemption at Option of Holder, in whole or in part, at any time prior to the date of the consummation of the Change of Control, a Holder shall have the option to, in lieu of redemption, require the Company to promptly return to such Holder any or all of the Preferred Shares that were submitted for redemption by such Holder under this Section 3 and for which the applicable Redemption Price has not been paid, by sending written notice thereof to the Company via facsimile (the &#147;</font><b><font size=2>Void Optional Redemption

<p style=' margin-bottom:10pt; margin-top:0pt;text-align:center;'><b><font size=2>AMENDMENT NO 1  TO EMPLOYMENT AGREEMENT</font></b></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>This Amendment (the &#147;Amendment&#148;) to the Employment Agreement, dated as of February 9, 2007 (the &#147;Principal Agreement&#148;; capitalized terms used but not defined herein shall have the respective meanings ascribed thereto in the Principal Agreement), between Steven R. Scheyer (the &#147;Executive&#148;) and Ascendia Brands, Inc. (the &#147;Company&#148;) is entered into on this 16<sup>th</sup> day of May, 2008.</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt;text-align:center;'><font SIZE=2>W I T N E S S E T H:</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>WHEREAS the parties have heretofore entered into the Principal Agreement pursuant to which, </font><i><font size=2>inter alia</font></i><font size=2>, the Company engaged the Executive to serve as its President and Chief  Executive Officer; and</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>WHEREAS the parties have agreed to amend certain provisions of the Principal Agreement as hereinafter set forth.</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>NOW THEREFORE, in consideration of the mutual covenants herein contained, the parties hereto, intending to be legally bound, agree as follows:</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:left;'><font size=2>1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;Section 3(b) of the Principal Agreement is hereby amended and restated in its entirety to read as follows:</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>&#147;(b)&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;For each full Year included in the Term of Employment commencing with the Second Year, the Executive shall be eligible to earn an annual bonus (each, an &#147;Annual Bonus&#148;). The amount of each Annual Bonus shall be determined by the Compensation Committee based on achievement of the annual EBITDA targets (the &#147;EBITDA Targets&#148;). The EBITDA Target for the Second Year shall be $13,653,000; provided, however, such EBITDA Target is subject to amendment by the Compensation Committee based on the restructuring plan developed by Carl Marks Advisory Group LLC (&#147;CMAG&#148;) and approved by the Board. The EBITDA Target for each subsequent full Year shall be determined by the Compensation Committee, after consultation with the Executive, within thirty (30) days following the commencement of such subsequent Year. For each full Year
(commencing with the Second Year), (i) if the Company achieves 100% of its EBITDA Target for such Year, the Annual Bonus shall be equal to 100% of Executive&#146;s Base Salary for that Year, (ii) if the Company achieves less than 100% of its EBITDA Target for such Year, the Annual Bonus shall be ratably reduced in an amount equal to 5% of Base Salary for the applicable Year for each 1% below 100% of Target EBITDA (with no Annual Bonus if EBITDA is not greater than 80% of Target EBITDA) and (iii) if the Company achieves more than 100% of its EBITDA Target for such Year, the Annual Bonus shall be ratably increased in an amount equal to 1% of Base Salary for the applicable Year for each 1% above 100% of Target EBITDA, up to a maximum Annual Bonus equal to 150% of Base Salary for such Year. Each Annual Bonus shall be deemed to vest and accrue at the end of the last day of the Year for which it is earned. Each Annual Bonus shall be paid in cash as soon as practicable following the end of
the Year for which it is earned, subject to the certification by the Compensation Committee of achievement of the applicable performance goals described in this Section 3(b) and the amount of such Annual Bonus, but in no event later than May 14 of the calendar year in which such Annual Bonus became vested and accrued. In addition, the Compensation Committee, in its discretion and without obligation, may declare and pay the </font></p>

<p style=' margin-bottom:0pt; margin-top:0pt;text-align:justify;'><font size=2>&nbsp;</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt;text-align:justify;'><font size=2>Executive a bonus for any Year based upon individual or Company performance or other considerations it deems appropriate, whether or not the performance goals described in Section 3(b) are met or exceeded.&#148;</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:left;'><font size=2>2.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;Section 3(d) of the Principal Agreement is hereby amended and restated in its entirety to read as follows:</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>&#147;(d)&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;</font><u><font size=2>Option</font></u><font size=2>. On or prior to June 30, 2008, the Company will grant the Executive an option (the &#147;Option&#148;) to purchase 5,546 shares (the &#147;Option Shares&#148;) of  the Company&#146;s Series C-1 Convertible Preferred Stock at an exercise price equal to $1,000.00 per Option Share. The Company&#146;s Series C-1 Convertible Preferred Stock shall be issued pursuant to a Certificate of Designations in the form attached hereto as Exhibit A, which the Company covenants shall be duly approved prior to the issuance of the Option. The Option Shares shall be governed by a stock option agreement containing the terms set forth in Exhibit B hereto and such other reasonable and customary stock option agreement terms not inconsistent with those set forth in Exhibit B hereto. The Executive expressly acknowledges
and understands that neither the Option Shares nor the shares of common stock issuable upon conversion thereof (the &#147;Conversion Shares&#148;) have been registered under the Securities Act of 1933, as amended, and that the Company is assuming no obligations hereunder to register the Option Shares or the Conversion Shares, and until such time as such registration has been effected or such shares may be freely transferred under applicable securities laws, the certificates representing such shares shall bear a legend substantially in the following form, in addition to any such legends that may be required by state securities laws:  </font></p>

<p style=' margin-bottom:10pt; margin-top:0pt;margin-right:0.5in; margin-left:0.5in;text-align:justify;'><font size=2>&#147;NEITHER THE ISSUANCE AND SALE OF THE SECURITIES REPRESENTED BY THIS CERTIFICATE NOR THE SECURITIES INTO WHICH THESE SECURITIES ARE CONVERTIBLE HAVE BEEN REISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED, OR APPLICABLE STATE SECURITIES LAWS. THESE SECURITIES MAY NOT BE OFFERED FOR SALE, SOLD, TRANSFERRED OR ASSIGNED (I) IN THE ABSENCE OF (A) AN EFFECTIVE REGISTRATION STATEMENT UNDER THE SECURITIES ACT OF 1933, AS AMENDED, OR (B) AN OPINION OF COUNSEL IN A FORM REASONABLY ACCEPTABLE TO THE COMPANY THAT REGISTRATION IS NOT REQUIRED.&#148;</font></p>

Without limiting the foregoing provisions of this Section 4, during the Term of Employment, the Company shall provide the Executive with the following perquisites: (i)  exclusive use of an automobile selected by the Executive in Chicago, Illinois, including payment or reimbursement of all associated registration, insurance, fuel and maintenance costs; (ii) first class travel on all international business flights; (iii) use of a furnished Company provided residence in the greater Princeton, New Jersey area; (iv) a full-time executive assistant of the Executive&#146;s choosing located in the Chicago, Illinois area (provided, that, the compensation of such executive assistant is comparable with the compensation of executive assistants for comparably situated companies); and (v) reimbursement for
his personal tax preparation expenses that are </font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; margin-left:0.5in;text-align:justify;'><font size=2>&#147;Notwithstanding anything expressed to the contrary in this Section 5(e), neither the engagement of CMAG to provide restructuring advisory services, the appointment of a Chief Restructuring Adviser of the Company with the responsibilities and duties forth in Exhibit C, nor the performance by the Chief Restructuring Adviser of the functions provided for in Exhibit C shall constitute &#147;Good Reason&#148; for purposes of this Agreement; provided, however, that any material breach by the Company of any of its obligations under Sections 3 or 4 of the Agreement shall continue to constitute &#147;Good Reason,&#148; regardless of whether or not such material breach results from the performance by the Chief Restructuring Adviser of the functions provided for in Exhibit C.&#148;</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>5.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;Sections 17 and 18 of the Principal Agreement are hereby deleted in their entirety, and the Lock-Up Agreement referenced in Section 18 of the Principal Agreement is hereby terminated by mutual agreement of the Company and the Executive.</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>6.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;The Executive shall pay his own legal fees incurred from and after May 1, 2008 in connection with the negotiation and preparation of this Amendment, including the stock option agreement referenced in Section 3(d). The Company will reimburse the Executive for all reasonable attorneys&#146; fees incurred by him in connection with the negotiation, performance and preparation of any future amendment to the Principal Agreement, as hereby amended and as it may be amended in the future (as amended, the &#147;Amended Agreement&#148;), addressing issues related to non-performance by the Company of its obligations under the Amended Agreement. Such reimbursement shall be made promptly when and as statements of counsel are submitted to the Company by the Executive.</font></p>

<p style=' margin-bottom:0pt; margin-top:0pt;text-align:justify;'><font size=2>&nbsp;</font></p>

<p style=' margin-bottom:10pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>7.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;In connection with the Executive entering into a certain Letter Agreement with Prentice of even date herewith, the Executive hereby waives the right to receive the Annual Bonus for the First Year that was due to be paid to the Executive pursuant to Section 3(b) of the Principal Agreement. Subject to the provisions of Section 5(e) as hereby amended, the Executive agrees that neither the engagement of CMAG to provide restructuring advisory services, the appointment of a Chief Restructuring Adviser of the Company with the responsibilities and duties forth in Exhibit C, nor the performance by the Chief Restructuring Adviser of the functions provided for in Exhibit C shall give rise to any other right or remedy on the part of the Executive under the Principal Agreement.</font></p>

ABI will pay CMAG a monthly fee of $225,000, payable in advance commencing from the date of this Amendment No. 1, for work normally requiring a monthly fee of $275,000. In consideration for the fee concession, ABI agrees to negotiate, in good faith, a success fee to be earned by CMAG which will provide recovery of the deferred amount as well as a bonus to be mutually agreed upon by CMAG and ABI which will be tied to projected Company performance. </font></p>
