The Management Board of MBF Group S.A., with its registered office inWarsaw (the "Issuer", the "Company"), announces that on 4 May 2026 itentered into an operational agreement with its technology partner, SharkAviation Danmanlk Sanayi ve Ticaret Ltd. ti., based in Seluklu(Konya, Republic of Turkey), governing the terms for the completion ofthe project involving the development, testing, demonstrations andpreparation for commercialisation of the IRYDA+ X1 system ("Agreement").
The conclusion of the Agreement marks the formal transition of theIRYDA+ X1 project from the stage of consultations and preparatory workto the operational and commercial phase, comprising the implementationof testing and demonstration activities and the preparation of thesystem for market roll-out. The adopted project structure andimplementation schedule constitute a direct continuation of theactivities communicated in ESPI's current report No. 28/2026 dated 4 May2026 and confirm the progress of technological and organisational work.
As part of the project, it is planned to prepare and utilise a total ofup to 15 unmanned aerial vehicles (UAVs), which will be owned by theIssuer and will be used for demonstration activities and operationaltests. This signifies the Issuer's actual acquisition of an operationalunmanned system, rather than merely participating in its development
In accordance with the agreement, the project is being implemented in aphased model comprising three main phases: a technological demonstrationphase to be carried out in the Republic of Turkey, a phase of extendedtesting and system optimisation, and a market demonstration phaseplanned for the Republic of Poland. The individual stages involveactivities related to the preparation of demonstration platforms, theconduct of operational tests, the preparation of documentation, and thepresentation of the system to potential customers, includinginstitutions responsible for critical infrastructure, public sectorentities, and uniformed services.
The Company's Management Board notes that the project has definedmilestones, including in particular achieving the readiness of theIRYDA+ X1 system for demonstration, preparing documentation on itsoperation, conducting a technological demonstration under operationalconditions in Turkey, carrying out further testing and optimisation ofthe system, and conducting market demonstrations in Poland. According tothe agreed schedule, the first demonstration phase may be completedwithin approximately one month of the start of operational activities,whilst the next demonstration phase is planned for the following month,which means that a full demonstration cycle can be carried out within ashort timeframe.
The Issuer notes that, in accordance with the agreed schedule, apresentation of the fully functional IRYDA+ X1 system under operationalconditions within the territory of the Republic of Turkey is planned bythe end of June 2026, whilst a presentation of the system within theterritory of the Republic of Poland, also including a demonstration ofthe system's operational capabilities (including target neutralisation),is planned by the end of August 2026. In the Issuer's assessment, thecurrent level of development of the system allows it to be offered topotential customers in parallel with the further development of thetechnology.
At the same time, the Company emphasises that some of the indicatedmilestones are at an advanced stage of implementation, which stems fromthe system's level of technological maturity and the work carried out todate by the technology partner, including, amongst other things, flighttests, tests of control systems and operational functions, including theability to perform tasks in autonomous mode and within a swarm .
The Issuer's Management Board further notes that, in connection with theproject's transition to the operational phase, it is commencingactivities aimed at establishing direct relations with potentialcustomers of the system, including consultations with publicinstitutions and services regarding the organisation of systempresentations, its potential applications, and the preparation of acommercial offer, which also encompasses the development of the targetIRYDA+ project.
In accordance with the adopted project implementation model, thepreparation and use of unmanned platforms intended for demonstration andtesting is envisaged, which includes both demonstration units used atindividual stages of the project, as well as platforms intended foroperational testing and system validation. This approach stems from thespecific nature of projects in the field of unmanned systems and theneed to ensure the continuity of testing and demonstration work.
In accordance with the provisions of the agreement, the maximumremuneration for the technology partner for the implementation of theproject has been set at a total of no more than USD 75,000, of which upto USD 40,000 is allocated to the technology demonstration phase carriedout in Turkey and up to USD 35,000 to the market demonstration phasecarried out in Poland. Payments are made on a phased basis, linked tothe achievement of specific milestones, with each phase divided intopayment instalments corresponding to the progress of the work. TheIssuer emphasises that the project is not a traditional research anddevelopment project, but is based on technological solutions that havereached a stage enabling their rapid implementation and marketdemonstration.
Under the adopted cooperation model, the parties have clearly dividedtheir responsibilities, whereby the technology partner is responsiblefor the development, testing and delivery of technical solutions,including software, system architecture and the integration of unmannedsystems, whilst the Issuer carries out activities related to thecommercialisation of the project, market communication, investorrelations and financing the subsequent stages of the system'sdevelopment, including platform expansion and functionalityenhancements. The Management Board also notes that one of the keyelements of its role in the project is the internationalisation of theIRYDA+ X1 system and the use of concluded and negotiated agreements toenter foreign markets.
The Issuer notes that the IRYDA+ X1 system is a dual-use solution,characterised by a modular architecture, the ability to operate both asindividual units and within a swarm structure, and the capacity to adaptrapidly to various operational scenarios. The current stage ofdevelopment of the system allows for its demonstration and potential usein commercial operations in parallel with further technologicaldevelopment.
The Issuer's Management Board has deemed the above information to beconfidential due to its significance for the further development of theIRYDA+ and IRYDA+ X1 projects, its impact on the Issuer's operationalsituation, and its potential significance for investors' assessment ofthe Issuer's growth prospects.
