In reference to the content of Current Report ESPI No. 5/2025 dated 11February 2025, the Management Board of Proguns Group S.A., with itsregistered office in Warsaw, hereby announces that today the Issuer hasentered into a cooperation agreement (the "Agreement") with CharterTrading Corporation ("CTC"), a company incorporated and operating underthe laws of the State of Texas (USA).

The purpose of the Agreement is to confirm the relationship between theparties in connection with the project for the sale of UH-60 Blackhawkhelicopters (the "Project"). Pursuant to the terms of the Agreement, theparties intend to cooperate in identifying, marketing, selling,configuring, and delivering UH-60 Blackhawk helicopters to qualifiedbuyers in Poland and other mutually agreed markets.

The Agreement replaces the memorandum of understanding previouslyconcluded between the parties, which the Issuer reported in CurrentReport ESPI No. 5/2025 dated 11 February 2025 (the "Memorandum").

The Agreement has been concluded for a period of five years. For theduration of the Agreement, i.e., five years, CTC has granted the Issuerthe exclusive right to represent its interests and promote the sale ofUH-60 Blackhawk helicopters within the territory of Poland. The extendedterm of the Agreement and the exclusivity granted to the Issuerconstitute key changes compared to the Memorandum.

The conclusion of the Agreement reflects CTC's recognition of andpositive assessment of the Issuer's actions undertaken in performance ofthe Memorandum. In particular, since entering into the Memorandum, theIssuer has consistently developed its competence in offering UH-60Blackhawk helicopters and has established business relationships withentities that may be interested in acquiring UH-60 Blackhawkhelicopters. The Issuer continues to hold discussions and establishcontact with further such entities. The Issuer is confident that theseefforts will translate, in subsequent periods, into revenues from thesale of UH-60 Blackhawk helicopters.
