PART III NARRATIVE
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Effective as of March 5, 2003, the Company emerged from Chapter 11 proceedings. As a result, the Company has been unable to timely finish its year-end procedures. Therefore, an extension of time to file is requested. If the Company were able to file the report today, it believes that the report from Ernst & Young LLP would raise concerns about the ability of the Company to continue as a going concern solely as a result of the restrictive nature of the financial covenants contained in the Company's senior credit agreement and possibility of the Company breaching such covenants. The Company is taking steps to remedy this situation, and if it is able to do so in a timely manner, Ernst & Young LLP's report may not raise such concerns. The Company intends to file its Form 10-K on or before the 15th calendar day following the prescribed date, whether or not Ernst & Young LLP's report contains a going concern opinion.
