Conclusion of asubcontracting framework agreement with an jointly controlled company.

TheManagement Board of G-Energy S.A. with its registered office in Warsaw(hereinafter: the Issuer, G-Energy) informs that today it has concludeda Subcontract Framework Agreement between the Issuer and ZPB PolitermSp. z o.o. with its registered office in Katowice (Politerm) regardingthe task: Performing for PSG Sp. z o.o. O / ZG in Opole (hereinafter:the Investor) comprehensive implementation of gas connections - designand construction of gas connections with gas consumption up to 10 m3 / hfrom existing gas pipelines in the area of​​PSGSp. z o.o. O / ZG in Opole - Gazownia Krapkowice, Kluczbork, about whichG-Energy was expected to sign ESPI 11/2020 of 23 March 2020 and rb. ESPI43/2019 of October 8, 2019.

Theimplementation of Tasks consists in particular in the implementation ofthe Design and Implementation of the Works (execution of constructionand assembly works, Connections, restoration and reconstruction of thepavement, execution of safeguards in connection with the collision withthe underground infrastructure) as well as geodetic service of theconstruction and as-built inventory. Comprehensive implementation of theProject and Works in the field of Gas Connection, i.e. preparation ofsimplified documentation or in the event that it is impossible orseriously difficult to perform simplified documentation in accordancewith the Order, in particular due to the inability to obtain therequired approvals and arrangements - gas connection constructionproject ( section from the existing gas pipeline) with the consent ofthe owners of the property through which the gas connection will bedesigned and all required opinions, permits, arrangements and decisionsas well as author supervision, implementation of construction andassembly works related to the gas connection (e.g. restoration andreconstruction of the surface, execution protection in connection with acollision with underground infrastructure, etc.), assembly of the gascabinet or supply and assembly of the gas cabinet, connection to theactive gas network without the outflow of gas fuel and without the needfor gas flow maintenance and geodetic service of construction (stakingout and as-built inventory).

TheInwestor, depending on the needs, will specify the scope of the Tasksubject in the Order.

TheFramework Agreement between the parties will be valid for a period of 23months from the date of conclusion of the Agreement, i.e. until:27/03/2022. The Parties have agreed to cooperate in the implementationof the Agreement to the extent enabling effective performance of theobligations of each Party. Politerm and G-Energy have stated that theywill cooperate on an exclusive basis, which does not preclude theissuing of certain tasks to external entities by the Issuer.

Theremuneration due to G-Energy from Politerm for the implementation of theScope of Works by G-Energy will amount to PLN 2,700,000 (say: twomillion seven hundred thousand zlotys) net. This amount will beincreased by the due tax on goods and services (VAT) in the amount ofPLN 621,000 (in words: six hundred twenty one thousand one hundredzlotys), i.e. PLN 3,321,000 (in words: three million three hundredtwenty one thousand zlotys) gross. In the event of a change in the VATrate in the tax regulations made after the conclusion of the Agreementand applicable to it, this remuneration will be increased or decreasedaccordingly by the amount resulting from the change in the VAT rate. Thechange in the VAT rate will apply to the non-invoiced part of theremuneration.

Thisamount may be increased if subsequent tasks not covered by thisAgreement are carried out.

Politermprovides for the possibility of providing the Issuer with an advancepayment for the performance of the Subject Matter of the Agreement.

Politermis entitled to demand payment of contractual penalties, in particularfor delay in handing over the Subject Matter of the Agreement on time,unless the Subcontractor is not responsible for not submitting theSubject Matter of the Agreement on time - in the amount of 0.2% of netremuneration for each day of delay, however no more than 20% of thisamount, due to delay in delivery of the Contract Schedule, unless theContractor is not at fault for failure to perform this obligation ontime - in the amount of 0.1% of net remuneration for each day of delay,however not more than 15% of this amount , in the event of withdrawalfrom the Agreement by the Employer for reasons attributable to theIssuer (irrespective of the legal basis) - in the amount of 10% of netremuneration for the preparation of the area by the Company for PSG tocarry out dangerous and gas-hazardous works contrary to the provisions,resulting in the inability of BWP of these works - in the amount of 5%in net remuneration for each case in which the Employer arrived at theplace of work, but could not carry them out, however, not more than 20%of this amount. The total amount of contractual penalties due to theEmployer under the Agreement may not exceed 30% of the total netremuneration.

Inthe event of circumstances related to atmospheric conditions or forcemajeure confirmed by the Investor, defined in particular by inparticular the COVID-19 coronavirus and fire hazard, the occurrence ofwhich would prevent GENERGY from performing the Task, it will bepermissible to conclude, at the Issuer's request, an annex changing thedeadline for completing the Subject agreement.

Theother conditions of the Contract performance do not differ from thosecommonly used in this type of contracts.
