Selecting the jointly controlled companyoffer as the most advantageous in proceedingsconducted in an open private tender.TheManagement Board of G-Energy S.A. with its registered office in Warsaw(GENERGY, the Issuer) publicly announces that it received yesterday fromthe ZPB Politerm Sp. z o.o. with its registered office in Katowice(Politerm), information from 15 May 2020 regarding the resolution ofnon-public proceedings, conducted in an open tender, for the award ofthe contract for the task: COMPLEX FRAMEWORK AGREEMENT - Design andconstruction of gas pipelines with gas connections and gas points up to60 m3 / h for Polska Spółka Gazownictwa Sp. z o.o. Gas Plant Branch inOpole divided into 6 areas / Gasworks, organized by Polska SpółkaGazownictwa sp.z o.o.PSG- Polska Spółka Gazownictwa sp.z o.o. based in Tarnów, Branch in Opole(PSG) notified Politerm of the outcome of the procedure in whichPoliterm's offer (submitted to area No. 4: Kluczbork) was chosen as themost advantageous.PSGsent a specimen Agreement with estimated order amounts.

Politermfor the implementation of the Subjects of the Agreements will receive atotal remuneration not exceeding the amount of PLN 3,300,000.00 NET (inwords: three million three hundred thousand PLN 00/100).Thisamount will be increased by the VAT due.

PSGentrusts and Politerm will carry out Orders consisting in preparingproject documentation, hereinafter referred to as the Project,exercising author supervision, and then building and commissioning: agas network together with gas connections on the premises of theGasworks (Works), in accordance with the abovementioned The project,according to the rates (prices) accepted in accordance with thesubmitted Offer, in accordance with the conditions contained in theSpecification of the Essential Terms of the Order (hereinafter referredto as SIWZ), on the principles set out in the Agreement. The subject ofthe Agreement includes, in particular, Tasks that can be orderedindividually or jointly (as part of a given Order) involvingcomprehensive implementation of linear facilities, i.e.1)implementation of the Project:2)implementation of Construction and assembly works:Politermmay entrust the performance of the Agreement in whole or in part tothird parties on the principles set out in art. 6471 of the Civil Code.Theframework agreement between the parties will be valid for a period of 24(say: twenty-four) months counting from the day of its signing until21.05.2022. Settlement will take place after the implementation of agiven Task. Remuneration for performing a given Task will be specifiedin the Order and will be calculated on the basis of prices indicated inthe Contractor's offer. VAT will be added to the above prices accordingto the rate applicable on the day of completing the given Task.CurrentlyPoliterm and GENERGY are negotiating a subcontract agreement in whichthe Issuer would act as a subcontractor in part of the task. The valueof the Subcontract Agreement as at the date of this report has not beendetermined, but it has been provisionally established that the Agreementwill cover at least 50% of the executive work.
