Conclusion of aFramework Agreement with Polska Spółka Gazownictwa sp.z o.o. based inTarnów, Branch Zakład Gazowniczy in Wrocław by a subsidiary.ManagementBoard of G-Energy S.A. with its seat in Warsaw (GENERGY, Issuer)announces that today it has received from the subsidiary InfracomplexSp. z o.o. with headquarters in Warsaw (Infracomplex) information aboutthe receipt by Infracomplex of a signed Framework Agreement -"Implementation of gas connections with gas consumption up to 10 m3 / hin the range of diameters from dn 25 PE to dn 63 PE from existing gaspipelines on the basis of a framework agreement in the area of​​operation Branch of the Gas Plant in Wrocław in the area of: Part 1 -the area of ​​the poviats: Lubin, Polkowice (excluding the commune ofGaworzyce, Grębocice, Radwanice, Przemków) ".Thesubject of the contract is the comprehensive implementation of linefacilities in the form of medium and low pressure gas connections withgas consumption up to 10 m3 / h in the diameter range from dn 25 PE todn 63 PE from existing gas pipelines (Connections) on the basis ofindividual orders (Orders), submitted as required if the OrderingParty's needs arise, including the preparation of design documentationfor Connections (Projects) and the construction and commissioning of theConnection (Works) or only Works, which together constitute the subjectof the Agreement.Theframework agreement concluded between the parties will be valid for aperiod of 24 months from the date of its signing. The contract isterminated upon the achievement of the amount of the remuneration,provided that the amount of the total remuneration is reached before theend of the contract.Infracomplexwill be entitled to remuneration depending on the actual scope of theworks performed, calculated on the basis of unit rates included in theAgreement, based on the material scope performed and included in thefinal acceptance protocol. The total net remuneration that GENERGY isentitled to for the execution of Orders falling within the scope of theSubject of the Agreement may not exceed PLN 4,934,952.00 (say: fourmillion nine hundred and thirty-four thousand nine hundred and fifty-twozlotys 00/100). VAT will be added to the above prices at the rateapplicable on the date of invoice.TheOrdering Party is entitled to demand payment of contractual penaltiesfor failure to perform the Task / Tasks covered by a given Order withinthe time limit indicated in the Order as the date of development of theconstruction and detailed design, technical acceptance or finalacceptance date, for reasons attributable to the Contractor. The totalamount of contractual penalties due to the Ordering Party under theAgreement may not exceed 20% of the total net remuneration.Detailedterms of the above Agreements do not differ from those commonly used inthis type of agreement.
