Conclusion of a Framework Agreement with Polska Spółka Gazownictwa sp. zo.o. based in Tarnów, Branch Zakład Gazowniczy in Wrocław by a jointlycontrolled company.Management Board of G-Energy S.A. with its seatin Warsaw (GENERGY, Issuer) announces to the public that yesterday itreceived from its jointly subsidiary Zakład Produkcyjno- BadączyPoliterm Sp. z o.o. with headquarters in Katowice (Politerm) informationabout the receipt by Politerm of the signed Framework Agreement -"Implementation of gas connections with gas consumption up to 10 m3 / hin the range of diameters from 25 PE to 63 PE from the existing gaspipelines under a framework agreement within the area of ​​operationBranch of the Gas Plant in Wrocław in the area of: Part 4 - the area of​​the poviats: Oleśnica, Milicz.The subject of thecontract is the comprehensive implementation of line facilities in theform of medium and low pressure gas connections with gas consumption upto 10 m3 / h in the diameter range from dn 25 PE to dn 63 PE fromexisting gas pipelines (Connections) on the basis of individual orders(Orders), submitted as required if the Ordering Party's needs arise,including the preparation of design documentation for Connections(Projects) and the construction and commissioning of the Connection(Works) or only Works, which together constitute the subject of theAgreement.The framework agreement concluded between the parties willbe valid for a period of 24 months from the date of its signing. Theagreement is terminated upon the achievement of the amount of theremuneration, provided that the amount of the total remuneration isreached before the end of the term of the Agreement.Politerm will beentitled to remuneration depending on the actual scope of the workperformed, calculated on the basis of unit rates included in theAgreement, based on the material scope performed and included in thefinal acceptance protocol. The total net remuneration due to Politermfor the execution of Orders falling within the scope of the Subject ofthe Agreement may not exceed PLN 5,652,890.00 (say: five million sixhundred fifty two thousand eight hundred ninety zlotys 00/100). VAT willbe added to the above prices at the rate applicable on the date ofinvoice.The Ordering Party is entitled to demand payment ofcontractual penalties for failure to perform the Task / Tasks covered bya given Order within the time specified in the Order as the date ofdevelopment of the construction and detailed design, technicalacceptance or final acceptance date, for reasons attributable to theContractor.
