Contents of the report:
The Management Board of Termo2Power S.A. with its registered office inWarsaw (the Company, the Issuer) hereby publishes information regardingthe agreement concluded on 04 - 02 - 2019 between Termo2Power S.A. andUltra Safe Nuclear Corporation (USNC) based in Seattle (USA).
Where as:
USNC operates in the global nuclear energy industry, developinghigh-temperature Modular Micro Reactors (MMR) with a minimum capacity of15 MWt to maximum 150 MWt (using the same technology) with a steamoutput with a maximum available temperature of 550 C.
Using this steam optional 5 MWe to ca 50 MWe electrical power can begenerated.
And Termo2Power operates on the European market, developing andintroducing to the market systems for converting heat into electricityusing ORC ( Organic Rankine Cycle ) and steam cycle technologies in thepower ranges of 5 kWe - 300 kWe and 2 MWe - 25 MWe,
Common goals of both parties related to this cooperation agreement aredefined as follows:
a) Generating revenues and profits by implementing projects on the Dutchmarket using products and services of each company.
b) Contribution to the reduction of CO2 emissions - and the reduction ofglobal warming.
c) Contribution to energy independence and energy stability of countries/ customers
The parties agreed that they will cooperate in such a way that USNC andTermo2Power will be partners in marketing and implementing projects inthe field of micro-nuclear heat/power projects only for the Dutch market:
1) Termo2Power will offer marketing know-how as well as the heat andpower equipment (steam turbines-condensers, etc. produced bysubcontractors/suppliers) for the adjacent plants.
USNC will offer their patented technology, technical know how,engineering and guidelines as well as marketing information
2) The parties will seek local scientific partners, engineeringpartners, subcontractors and financial partners to form consortia forthe implementation of a given project.
Delivery terms, prices, settlement methods, creation of consortia forjoint implementation of projects will be the subject of separatearrangements for each potential client / project.
The participation of the Parties in the implementation of joint projectswill each time be preceded by the signing of a separate agreement whichwill determine the rights and obligations of the Parties in theimplementation of the undertaking.
In the case when the project concerns only process heat and not theoptional electrical part, Termo2Power will receive a commission fee, onthe terms negotiated before the start of the project.
The Parties undertake to keep confidentiality of the content of thisAgreement and documents, analyzes and actions taken in connection withthe implementation of the objective set out in relation to third parties.
The USNC (MMR) technology allows the design of ultra-safe reactors.
The reactors do not need water cooling. With the USNC design technology,a so called "meltdown" is impossible.
Target groups for offered installations are Dutch chemical industry,refineries, greenhouses, municipal heat and power plants.
