Item 8.01    Other Events.
 
Between October 10, 2007 and October 12, 2007 the Company’s wholly-owned subsidiary, Sovereign Partners, LLC, and certain entities controlled by Sovereign Partners, LLC (collectively the “Debtors”) each filed voluntarily petitions for relief under Chapter 11 of Title 11 of the United States Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the District of Arizona (the "Bankruptcy Court") (Case Nos. 0:07-bk-00537-RJH, 0:07-bk-00524-RJH, 0:07-bk-00525-RJH and 0:07-bk-00538-RJH). As of October 31, 2007, no additional subsidiaries of the Company had filed voluntary petitions for relief under chapter 11 of the Bankruptcy Code in the Bankruptcy Court.

The Debtors currently manage, and will continue to manage, their properties and operate their businesses as "debtors-in-possession" under the jurisdiction of the Bankruptcy Court and in accordance with the applicable provisions of the Bankruptcy Code.
