The Management Board of Ice Code Games S.A., with itsregistered office in Warsaw [the "Issuer"], hereby announces that todaya subsidiary of the Issuer, i.e. InvestLab ASI sp. z o.o. ["InvestLab"],entered into a strategic and investment agreement with a natural person[the "Investor"].
Pursuant to this agreement, InvestLab granted theInvestor the right to obtain an instrument entitling the Investor tosubscribe for newly issued shares of the Issuer at a price equal to 130%of the closing price of one share of the Issuer as determined on thedate of execution of the agreement, in relation to the Issuer's sharesto be subscribed for in the new issue [the "Entitlement"].Thetotal value of the Entitlement [the maximum aggregate amount for whichthe Investor will be entitled to subscribe for the Issuer's shares]corresponds to the value of Bitcoin 10 [converted into PLN at anexchange rate being the arithmetic average of the closing rates from 10trading sessions preceding the exercise of the Entitlement], reduced bythe costs related to servicing this agreement.Consentto exercise the Entitlement must be granted jointly by InvestLab and theInvestor, and the exercise of the Entitlement is subject to corporatedecisions of the Issuer [i.e. the adoption by the Issuer's corporatebodies of resolutions enabling the Investor to subscribe for shares onthe terms specified in this agreement].Settlementof the Entitlement will be effected by InvestLab in such a manner thatBitcoin will remain in the assets of InvestLab, and the Investor will beentitled to obtain from the Issuer an instrument entitling the Investorto subscribe for the Issuer's shares [in particular, subscriptionwarrants] or to subscribe directly for the Issuer's shares, whereby themethod of settlement of this investment will be specified in animplementing agreement to be entered into by the Issuer with InvestLaband the Investor.The agreement isconcluded for a period not exceeding 10 years or until its earliertermination in accordance with the terms specified therein. The partiesshall not be liable for non-performance caused by force majeure.
