Listing Requirement

VERNON HILLS, IL—(BUSINESS WIRE)—Dec. 16, 2002—Centiv, Inc. (NASDAQ: CNTV - News), today announced the Company recently received notification from Nasdaq that for 30 consecutive trading days, the Company's common stock closed below the minimum closing bid price of $1.00 per share requirement for continued listing on the Nasdaq SmallCap Market. To return to compliance, the bid price of the Company's common stock must close at or above $1.00 per share for at least 10 consecutive trading days by June 9, 2003. Failure to achieve compliance may result in the Company's common stock ceasing to be listed on the Nasdaq SmallCap Market.

"As we deliver on our plans, we expect that the market will recognize the true value of the company, which we believe would allow us to meet or exceed the NASDAQ minimum requirements," said Rychel.
