The registrant has undergone a change in its accounting system and completed an acquisition requiring full consolidation days prior to the end of the period covered by the Companys Form 10-QSB for the period ended September 30, 2005. The registrant intends to file its 10-QSB within the prescribed period allowed by the rules relating to Form 12b-25.
