The report of a21, Inc. on Form 10-QSB could not be filed within the prescribed time period due to the incorporation of certain information necessitated by the integration of ArtSelect Inc.’s results of operations into a21’s consolidated financial statements. ArtSelect was acquired by a21 on May 16, 2006. As a result, a21and its auditors require additional time to complete the review of its consolidated financial statements to be included in the Form 10-QSB.

On May 16, 2006, we acquired ArtSelect, Inc. a21 expects ArtSelect’s results of operations will contribute to a21’s consolidated results of operations approximately $1.5 million of revenue and impact its net loss by approximately $70,000 for the three and six months ended June 30, 2006.Except for the impact of the integration of ArtSelect into a21’s financial statements, it is not anticipated that any significant change in results of operations from the corresponding period for the last fiscal year will be reflected by the earnings statements to be included in the Quarterly Report on 10-QSB for the second quarter of 2006.
