ITEM 1.01 ENTRY INTO A MATIERIAL DEFINITIVE AGREEMENT.

On September 18, 2009, Pari Respiratory Equipment, Inc and ALR Technologies Inc signed an agreement in which ALR Technologies licensed the Company's patented nebulizer compressor monitoring technology to Pari Respiratory Equipment, Inc for the manufacturing and marketing of compliance-ready monitoring nebulizers worldwide.
